The Binary Options Scam World

In recent years, hundreds of thousands of customers have invested in binary options and lost a lot of money. According to many expert opinions, binary options are prone to fraud in their applications and hence banned by regulators in many jurisdictions as a form of gambling.

The US FBI estimates that the scammers steal $10 billion annually worldwide and thus is investigating binary options scams throughout the world, and the Israeli police have tied the industry to criminal syndicates.

Many investors have not understood that binary options are a game of chance and not an investment. In addition, very few binary options providers were registered with the relevant financial market supervisory authorities. Memorandum of Understanding

 

This Memorandum of Understanding (“hereinafter referred to as “MOU”) is made as of the 1st day of December 2017 by and between:

  • Ilan Tzorya, holder of an Israeli passport number, of 3 Spas Sokolov, Entance A, 9th floor, office 37, Sofia, Bulgaria through the company in which he is the 100% ultimate beneficial owner, DTIG Holding Ltd, a Cyprus company with registration number 342260 and registered office address at 2 Apostolos Varnavas, Centaur House, 2571 Nisou, Nicosia, Cyprus (“hereinafter referred to as “The Transferor”),

AND

  • Vladislav Smirnov, holder of a Russian passport number, Boulevard street, Block 3, Moscow, Russia (“hereinafter referred to as “The Transferee 1”),

AND

  • Michael Greenberg, holder of an Israeli passport number, of 3b Yuval Neeman str, apt 26, building C, Tel Aviv, Israel (“hereinafter referred to as “The Transferee 2”),

AND

  • Gal Barak, holder of an Israeli passport number, polyana 68, Sofia, Bulgaria (“hereinafter referred to as “The Transferee 3”).

(The Transferor, The Transferee 1, The Transferee 2 and The Transferee 3 individually referred to as a “Party” and jointly as the “Parties”).

 

RECITALS

  1. This MOU is binding upon all the Parties. To the extent any of its terms contradict existing by-laws or articles of incorporation of the Company, this MOU shall be binding and the by-laws or articles of incorporation shall be amended to conform.
  2. This MOU obligates the Parties to act in good faith with regard to any issue which applies to this MOU. Any ambiguity shall be construed accordingly.
  3. The Transferor is the registered legal owner and holder of 100% (1,199 shares), of the issued share capital of Krypton Blockchain Holdings Ltd a Company incorporated in Malta, with Registration Number C81989, and registered office address at Dragonara Road, Dragonara Business Centre, 5th floor, STJ 3141 St Julian’s, Malta (“hereinafter referred to as “The Company”).
  4. The Transferee 1 has indicated a desire to accept the transfer of 660 shares from the Transferor, and the Transferor has indicated a desire to transfer 660 shares of the shares held in the Company to the Transferee 1, on the terms set forth herein.
  5. The Transferee 1 will invest in the Company the amount of €2.750.000 (two million seven hundred and fifty thousand Euro) , which already transferred to the company by EURO and by BTC amount equal to €1,486,000 (one million four hundred eighty six thousands EURO)  and will transfer more €1.264.000 (one million and two hundred sixty four thousands Euro) .
  1. The Transferee 2 has indicated a desire to accept the transfer of 60 shares from the Transferor, and the Transferor has indicated a desire to transfer 60 shares of the shares held in the Company to the Transferee 2, on the terms set forth herein.
  1. The Transferee 2 will invest in the Company the amount of €100.000 (one hundred thousand Euro) and provide free of charge unlimited the advertising of the Company through FinanceMagnates.com and ForexLive.com for 24 months based on the understanding that this service would ordinarily be worth €5.000 (five thousands EURO) per month and €30.000 (thirty thousands EURO) in exhibitions and/or summits sponsorship and/or booths.
  1. The Transferee 3 has indicated a desire to accept the transfer of 120 shares from the Transferor, and the Transferor has indicated a desire to transfer 120 shares of the shares held in the Company to the Transferee 3, on the terms set forth herein.
  1. The Transferee 3 will invest in the Company the amount of €500.000 (five hundred thousand Euro), Which already transferred €200.000 (two hundreds thousands Euro) and will transfer €300.000 (three hundred thousand Euro) more.
  1. The Transferor invested in the Company the amount of €687.500 (six hundred eighty seven thousand and five hundred Euro) which already transferred to the company by EURO and by BTC the all amount.
  1. The Transferee 1, the Transferee 2 and the Transferee 3 shall meet the due diligence identification requirements of the Company and justify the legitimate source of the funds to be invested in the Company as described above before any shares of the Company are transferred to them.
  1. The Parties that they are entering into this MOU on their own individual behalf and they are not acting or intending to hold any shares on behalf of other persons or entities.
  1. Each shareholder can only appoint a representative to act on its behalf if said representative has been approved by 100% of the shares.
  1. The Parties cannot use their shares as collateral or encumber them in any way without the express permission of 80% of the shares.
  1. The Parties agree to appoint and authorise Ilan Tzorya holder of an Israeli passport number 22318391, of 3 Spas Sokolov, Entance A, 9th floor, apartment 37, Sofia, Bulgaria, as their authorised representative (“hereinafter referred to as “The Authorised Representative”) in the performance of the Company’s services. The Authorised Representative shall have all the powers and responsibilities and function as the Chief Executive Officer and Chief Operating Officer and Chief Financial Officer of the Company. In addition the Authorised Representative represents the interests of all the Company’s shareholders. The Company’s directors, lawyers, accountant and all other third parties should rely on any instructions or requests made, or notices given, or information supplied, whether orally or in writing, by the Authorised Representative as representing all the shareholders of the Company as one body; as well as the Company. The decision to change/replace the Authorised Representative shall requires approval by 80% of the shares.
  1. The Parties agree to hold the Authorised Representative at all times harmless and for the Company to indemnify the Authorised Representative against all actions, suits, proceedings, claims, demands, costs, expenses and liabilities whatsoever, which may arise or accrue or be taken, commenced, made or sought from or against the Authorised Representative in connection with him acting on behalf of the shareholders of the Company or the Company and related to or arising from the provision of services as the Authorised Representative. This indemnity will not extend though to any actions, suits, proceedings, claims, demands, costs, expenses and liabilities, which may arise or accrue or be taken, commenced, made or sought from or against the Authorised Representative in respect of any fraudulent or grossly intentional negligent act or omission of the Authorized Representative. For that the Company will purchase an indemnity and liability insurance policy to cover the above.
  1. Any Party proposing to make a bona-fide transfer of all or any of its shares (the “Offeror”), shall first offer (the “Offer”) such shares (the “Offered Shares”), on the terms of the proposed transfer, to the other Parties (the “Offerees”).
  • The Offer shall state (i) the identity of the proposed purchaser (the “Buyer”); (ii) the number of shares to be sold or transferred to the Buyer; and (iii) the price, terms and conditions of the proposed sale or transfer to the Buyer. The Offerees shall have fourteen (14) days from the date of receipt of the Offer (the “Option Period”) to agree to purchase all (but not less than all) of the shares, for the price and upon the terms and conditions specified in the Offer, by giving written notice to the Offeror stating therein the number of shares to be purchased.
  • The Offerees shall be entitled to purchase the shares pro rata to their share-holdings.
  • In the event that the Offerees fail to agree to purchase all of the Offered Shares proposed to be transferred within the Option Period, such Offeror shall have sixty (60) days after the expiration of the Option Period to sell all of the Offered Shares proposed to be transferred to the Buyer at the price and upon terms and conditions no more favourable to the Buyer than specified in the notice to the Offerees.
  • No Party can transfer, sell or gift any of its shares unless the proposed recipient or transferee has been approved by 80% of the shares and the proposed recipient or transferee has agreed to be bound by the applicable terms of this MOU. Said applicable terms shall also bind parents, spouse or children, or entity controlled by the party.
  1. Notwithstanding anything contained in this MOU or any other agreement or document, the Parties expressly agree that the trademark, domain names and all intellectual property connected to Krypton Capital (the “IP”) including but not only the domain and websites KryptonCapital.com and Krypton.Capital will continue to be exclusively owned by Ilan Tzorya. Also, all domain names and intellectual property of the Company and any of its subsidiaries shall be registered and held in the name of the Authorised Representative. However, Ilan Tzorya hereby grants a license to any of the three Transferees while they are shareholders  to use the name Krypton in their own fund or investment vehicle provided same would not be confused with Krypton Capital.
  1. There are no non-compete restrictions on the Parties. They are permitted to compete against each other and the Company by setting up or being involved in other type of investment funds or entities. They are permitted to retain the services of managers and employees of the Company and other companies provided the Company does not bear any of the costs.
  1. The Parties have performed their due diligence on the Company and its management to their complete satisfaction and specifically waive and release any claims in this regard of any information or documentation which may or may not have been provided.
  1. The Company shall enter into a contract with Krypton Management Services Ltd, a BVI company, to receive management services concerning the investments to be made by the Company.
  1. Any referral fees of the company or companies related to the Company should be paid directly to the Party who made the relevant introduction and the Company and/or its related companies cannot claim such fees.
  1. A commission of 5% of the investment will be paid by the Company to any Party that solely originates an investment accepted and entered into by the Company.
  1. The Parties agree that the Company initially provides loans or invest in other companies as per below table:
